If you do not agree to any terms and conditions stipulated in these Terms or our Privacy Policy, or any additional applicable terms and conditions, do not access our platform and do not click on "I Agree with General T&C."
The use of our specific services is described by terms and conditions governing each service separately, as indicated below in this document (Specific Terms). In the event of any inconsistency between these Terms and any Specific Terms, the relevant Specific Terms shall prevail. Before starting to use any of our services, you will be asked to read and agree with those Specific Terms. By consenting to these Terms, you are also agreeing to the Specific Terms.
The value of digital currencies may fluctuate significantly, and there is a substantial risk of economic losses when dealing with digital currencies. By making use of our services, you acknowledge and agree that you acknowledged yourself with the Risk Warning document publishedon our website and:
- You are aware of the risks associated with transactions involving digital currencies.
- You assume all risks related to the use of our services and transactions involving digital currencies.
- MELD is not liable for any risks or adverse outcomes that may arise.
Other applicable terms
These Terms are supplemented by the following additional terms which are expressly incorporated by reference herein and which also apply to your use of our site and services as applicable:
- Our MELD Testnet Wallet Addendum, which supplements the MELD Testnet Terms of Service and sets out the terms of your use of the MELD Testnet Wallet and related services;
- Our Testnet Disclaimer, which disclaims any warranties or liability resulting from your use of MELD Testnet and the services provided thereon; and
- Our Privacy Policy, which sets out information about how we use your personal information and the use of cookies and local storage on our site and services;
- Our End User License Agreement, which sets terms for using the MELDApp, covering user responsibilities, restrictions, privacy, liability, and MELD's right to update or terminate access if terms are breached.
- Our MELD Docs, which aggregate all legal and compliance documentation.
DEFINITIONS
The following words when capitalized in these Terms have the following meanings:
MELD or we or us – means a legal entity of the MELD Group of Companies, providing the MELD Services in question and indicated in the Terms or SpecificTerms.
- MELD Group is international group of companies, consisting of the holding company MetaFinance Pte. Ltd., reg. No 202139173K, based in Singapore, and its subsidiaries;
- MELD X, UAB, a private limited liability company, established and operating under the laws of Lithuania, legal entity code 306004631, registered address at V. Nagevičiaus st. 3, LT-08237 Vilnius, Lithuania;registered VASP and reporting to Financial Crime Investigation Service (FCIS)of the Republic of Lithuania; MELD X is the party to fiat related clauses hereof and services provision, where applicable;
- MELD Ltd., a company limited by shares, incorporated in Cayman Islands, legal entity code 395937, VP Number: SCS6729, registered address Kensington House, 69 Dr.Roy's Drive, PO Box 2510, George Town, Grand Cyman, KY1-1208, Cyman Islands; MELD Ltd. is the party to DeFi related clauses hereof and services provision, where applicable;
- MELD Finance, UAB, a private limited liability company, established and operating under the laws of Lithuania, legal entity code 306236494, registered address at Girulių g. 10-201, LT-12112 Vilnius, Lithuania; MELD Finance is the party to fiat related clauses hereof and services provision, where applicable;
MELD Services or Services–means the products and services offered by MELD via the MELD App or the MELD Websites which includes any services enabled by future technological development, and provided by MELD in accordance with these Terms and separate Specific Terms;
MELD Websites or Sites means the websites, subdomains, APIs, mobile applications and other applications and media operated by MELD, including but not limited to the domain names of which include meld.com;
Account – an account created by MELD to the User providing the features required to use the Services;
Applicable Law – means all civil and common laws, statutes, subordinate legislation,treaties, regulations, directives, decisions, by-laws, ordinances,circulars, codes, orders, notices, demands, decrees, injunctions,resolutions, rules and judgments of any government, quasi-government,statutory, administrative or regulatory body, court, agency or association by which any User of the MELD Service, are bound in any jurisdiction applicable to the receipt or performance of the MELDService;
AML/CTF – means anti-money laundering and counter-terrorism financing;
Force Majeure means any circumstances beyond the reasonable control of any party including, without limit, any strike, lock-out or other form of industrial action, civil commotion, terrorism, riot, invasion, war, rebellions, threat of or preparation for war, unavoidable accident, failure of telecommunications, failure of electronic payments systems, strikes, lockouts or other labour disturbances, national or international emergencies, fire, explosion, severe or adverse weather conditions, flood, storm, earthquake, Acts of God, subsidence, epidemic or other natural physical disaster, government rules, regulations, acts, orders, restrictions or requirements, power failure, failure in bank performance, or equipment or software malfunction including network splits or “forks” or unexpected changes in a computer network upon which the Services rely.
Intellectual Property Rights – means any registered or unregistered design rights, patents, copyright, database rights, data protection rights, trademarks, service marks, logos, trade names, rights in domain names, rights in undisclosed or confidential information (such as know-how, trade secrets and inventions (whether or not patentable)) moral rights and any other similar intellectual or industrial property rights (whether registered or not) and applications for such rights as may exist anywhere in the world;
Digital Currency – means a digital representation of value that can be digitally traded, or transferred, and can be used for payment or investment purposes (also known as cryptocurrency, virtual currency, virtual asset), and supported by MELD. Digital Currency does not include digital representations of fiat currencies, securities and other corresponding financial assets;
Fiat Currency – a currency which in accordance with valid laws is legal tender;
User or you – an individual or a legal entity using the Sites, holding the Account and using the Services.
AGREEMENT
- Contractual Relationship. These Terms (including the Specific Terms) constitute a legal agreement and create a binding contract between you and MELD. These Terms are applicable to you from the moment you access the Sites and/or Services. MELD remains solely entitled to restrict or limit your access and/or use of our Sites and/or Services without indicating any reasons.
- Your Eligibility. You must be able to form a legally binding contract online either as an individual or on behalf of a company. Accordingly, you represent that:
- 2.1. If you are agreeing to these Terms (including the Specific Terms) on behalf of a company or other legal entity, you have the legal authority to bind the company or other legal entity to these Terms, and as a legal person, you must be duly established and operate in a country in which our Services are legally accessible.
- 2.2. You are at least 18 years old (or the age of majority where you reside, whichever is older), can form a legally binding contract online, and have the full right, power, and authority to enter into and to comply with the obligations under these Terms.
- 2.3. You further represent that you are otherwise legally permitted to use the services in your jurisdiction, including owning cryptographic tokens and interacting with the services and content provided through our Sites.
- 2.4. In addition to the foregoing, you undertake to immediately cease using MELD Services should it become illegal under the laws applicable to you.
- 2.5. You must provide all of the information and/or data and/or documents required by us to set up and maintain your Account and verify your identity following our instructions, including requests to provide duly signed and certified documents evidencing your right as a representative of a legal person.
- 2.6. MELD must be satisfied with the outcome of the identity, fraud, background checks, and other money laundering and terrorist financing checks it (or any third party) conducts in relation to you at any time during the term of your and our relationship.
- 2.7. You are not subject to the Restricted Jurisdictions clause hereof.
- 2.8. At all times, you comply with the Terms as well as all applicable laws.
- Specific Terms. These Terms are supplemented by the following Specific Terms which are expressly incorporated by reference herein and which also apply to your use of our Site and Services, as applicable:
- 3.1. Our Privacy Policy, which sets out information about how we use your personal information and the use of cookies and local storage on our site and services;
- 3.2. Our MELD App Terms, which sets out terms and conditions of using out Services provided and accessible via MELD App;
- 3.3. Our End User License Agreement (EULA), which sets limited non-transferable license terms for MELD App usage.
- 3.4. Our Risk Warning, which highlights the significant risks involved in dealing with digital currencies and digital assets;
- 3.5. All other agreements entered into separately between you and MELD are deemed Specific Terms that are an integral part of these Terms and shall have the same legal effect.
- Your General Agreements and Promises. By accessing the Sites and using the Services, you:
- 4.1. Confirm that you are eligible, as well as agree and acknowledge that any and all actions performed by using your Account shall be valid and binding.
- 4.2. Authorize MELD to make the inquiries, when necessary, to verify your identity, undertake fraud checks, and carry out other measures necessary to meet the requirements set forth in the Applicable laws. You expressly consent to furnish any and all such information, documents, and data.
- 4.3. Confirm that you have read, understood, and agreed to be bound by these Terms and Specific Terms; commit to be bound by these Terms and Specific Terms and comply with them.
- 4.4. Undertake to pay all fees associated with the Services, if any.
- 4.5. Confirm that you have sufficient knowledge of Digital Currencies and understand that you are solely responsible for determining the nature, potential value, suitability, risks, and appropriateness of our Services.
- 4.6. Confirm that MELD has not solicited, nor advised you to, nor recommended you to use the Services and/or enter into transactions related to Digital Currencies.
- 4.7. Commit to ensure that any personal information you provide to MELD is accurate, up-to-date, and complete, and relates solely to you, and to update us within 10 (ten) calendar days of any changes to any information you have provided to us. At our request, you must submit any documents (originals, duly certified paper copies, or scanned copies) supporting such changes of information or circumstances, as well as provide us without undue delay with any additional information, documents, and data we may request from you.
- Documents to be Provided by User to MELD. MELD shall have the right to require the User to provide original documents and/or copies certified by a notary or any other person authorized by the state. MELD shall also have a right to require that documents drawn up abroad be translated into English and/or legalized and/or attached with an Apostille unless Applicable laws establish otherwise. All costs of drafting, delivery, certification, notarization, apostilling, and translation of documents to be provided to MELD shall be borne by the User.
- Your AML/CTF Related Agreements and Promises. In order to comply with applicable AML/CTF requirements, MELD must obtain from you and retain the necessary documents, information, and data. By accessing the Sites and using the Services, you:
- 6.1. Acknowledge that at any time during our relationship, MELD shall have the right to demand from you any documents, data, and information, including those confirming the legal grounds and sources (origin) of your funds and other assets, to the extent necessary for MELD to adequately fulfill AML/CTF requirements.
- 6.2. Approve that the funds deposited in your Account in any form belong to you and are derived from legitimate sources. MELD may require proof of evidence confirming the legitimacy of funds.
- 6.3. Approve that your personal data and identifiers may be shared with authorized third parties, including banks, required to provide our Services to you and in accordance with applicable AML/CTF laws. MELD uses reliable and independent sources and other lawful methods to verify the information provided by you.
- 6.4. Acknowledge that if MELD determines you pose an unacceptable AML/CTF risk, it may immediately and unilaterally terminate the relationship with you.
- Representation and Warranty. By accepting these Terms, you represent and warrant that all of the above statements are true and accurate on the day of acceptance and shall remain so until you cease using our Services.
- Accessing MELD Sites. While MELD aims to ensure uninterrupted access to its Sites and Services, occasional downtime or maintenance may occur. MELD reserves the right to suspend, withdraw, discontinue, modify, or update all or any part of the Sites and Services without notice.
- Your Responsibility for Access. You are responsible for all arrangements necessary to access our Sites and Services, ensuring compliance with these Terms for any persons accessing the Sites through your platform or internet connection.
- Suspension. MELD reserves the right to suspend your access to the Sites and/or Services without prior notice for any period it deems necessary, including but not limited to the following cases:
- 10.1. Prohibited Use.
- 10.2. Following a “fork” event or other change in operating rules in any Digital Currency network.
- 10.3. A Force Majeure or market disruption event.
- 10.4. Compliance with applicable law or regulatory guidance.
- 10.5. Other significant circumstances, as determined by MELD.
- Restriction and Termination. Subject to applicable law, MELD reserves the right to restrict or terminate your access to any or all Services and deactivate your account, including but not limited to cases where:
- 11.1. There is Prohibited Use.
- 11.2. MELD is required to do so by law or court order.
- 11.3. Reasonable suspicion of breach of Terms or circumvention attempts.
- 11.4. Reasonable suspicion of fraud or erroneous transactions.
- 11.5. Compromise of your account or unauthorized MELD Services use.
- 11.6. Reasonable suspicion of money laundering, terrorism financing, fraud, or other financial crime.
- 11.7. Suspicion of fraudulent or illegal activities, including Ponzi or pyramid schemes.
- 11.8. Pending litigation, investigation, or government proceedings involving your MELD wallets.
- 11.9. Other significant circumstances, as determined by MELD.
- Reversal of Suspensions and Terminations. Suspensions, restrictions, or terminations may be reversed once reasons for refusal no longer exist. MELD is not obligated to execute suspended, reversed, or terminated transactions at the same price or terms.
- Limitations of Liability. MELD shall not be liable for any loss, liability, or inconvenience arising from any Suspension Event or related actions. MELD may, at its discretion, allow you to withdraw Digital Currencies from your Account to a third-party service.
- Changes to Terms. MELD reserves the right to amend these Terms unilaterally at any time by publishing updated Terms on the website and notifying users. Continued use of the Sites and Services implies acceptance of amended Terms. If you do not accept amended Terms, follow the “Termination” procedure.
- Third-Party Providers. MELD may engage third-party providers or subcontractors for Services. MELD is not liable for delays, loss, or damage incurred from third-party services. Claims related to third-party services should be directed solely to those providers.
- Restricted Jurisdictions Clause:
- 16.1. Prohibited Jurisdictions: Use of MELD’s platform is prohibited in countries or regions under international sanctions, embargos, or crypto restrictions, including OFAC-listed or EU-sanctioned countries.
- 16.2. High-Risk Jurisdictions: MELD may impose additional restrictions on users from high-risk jurisdictions, as identified by financial regulators.
- 16.3. AML Compliance: MELD complies with AML and CTF regulations and may conduct enhanced due diligence for users from high-risk jurisdictions.
- 16.4. Crypto Bans: Users are responsible for knowing and complying with any crypto bans in their jurisdiction.
- 16.5. Legal Compliance: MELD may restrict users from restricted jurisdictions through Geo-blocking or other technical means.
PROHIBITED USE
- Prohibited Activities. MELD prohibits Users from using its Sites or Services for:
- 17.1. Illegal activities.
- 17.2. Concealing proceeds of illegal activities.
- 17.3. Infringing Intellectual Property.
- 17.4. Gambling.
- 17.5. Unsupported Digital Currency transactions.
- 17.6. Fraudulent, malicious, or deceptive activities, such as launching malware.
- 17.7. Reverse engineering or disabling MELD software.
- 17.8. Unauthorized Account access.
- 17.9. Securities promotion.
- 17.10. Impersonation of MELD or any other person.
- 17.11. Sending unsolicited advertising.
- 17.12. Unauthorized data scraping or monitoring.
- 17.13. Harmful actions toward MELD or third parties.
- 17.14. Use by ineligible persons.
- 17.15. Activities that damage or interfere with MELD’s Sites or Services.
- 17.16. Attacks on MELD’s website infrastructure.
- 17.17. Other unacceptable activities per MELD’s discretion.
- Access Denial. MELD reserves the right to block or refuse access if there is good-faith belief of prohibited use.
- Breach of Terms. If MELD believes you have breached these Terms or applicable law, it reserves the right to:
- 19.1. Limit, restrict, suspend, or terminate access to the Sites and/or Services.
- 19.2. Warn other users of your actions.
- 19.3. Cooperate with law enforcement by disclosing information.
- 19.4. Exercise any other rights under applicable law.
INTELLECTUAL PROPERTY RIGHTS
- Ownership: All intellectual property rights, including but not limited to copyrights, trademarks, patents, and trade secrets related to the Site/Services and its content, are owned by MELD or its licensors.
- Third-Party Content: The Site/Services may contain content from third parties, such as partners or suppliers. MELD does not own or control this third-party content, and its use is subject to the terms and conditions of the respective third parties.
- Limited License: By accessing and using the Site/Services, you are granted a limited, non-exclusive, non-transferable license to use the Site/Services and its content solely for personal, non-commercial use. You may not reproduce, modify, distribute, or otherwise exploit any part of the Site/Services or its content without the express written consent of MELD.
- You may not sell or modify materials derived or created from the Services or reproduce, display, publicly perform, distribute, or otherwise use the materials for any public or commercial purpose. Use of such materials on other websites or file-sharing services for any purpose is strictly prohibited. You may not copy any material derived from the Services without our express, written permission.
- Intellectual Property Infringement: If you believe your intellectual property rights have been infringed by the Website or its content, please notify MELD immediately via both info@meld.com and legal@meld.com.
- Linking to our Sites: You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link suggesting association, approval, or endorsement by us where none exists. We reserve the right to withdraw linking permission without notice.
- Third-Party Links: Where our Site or Service contains links to third-party sites and resources, these are provided for information only. This includes links in advertisements. We have no control over those sites, accept no responsibility for them, and are not liable for any loss or damage from your use of them. Accessing third-party sites linked to our site is entirely at your own risk and subject to those sites' terms and conditions.
- MELD Sites and Services may include user-generated content (e.g., bulletin boards, chat rooms) and Third-Party links (e.g., news channels). Such content has not been verified by us. Views expressed by third parties on or via MELD platforms do not represent MELD's views or values.
FEES AND TAXES
- MELD shall charge fees for Services as specified in the Specific Terms, which you agree to pay.
- MELD reserves the right to update the fees for Services at any time. Updated fees will apply to use of Services after the effective date of such updates. If no effective date is specified, updated fees are effective immediately upon publication.
- You authorize MELD to deduct applicable fees from your Digital or Fiat Currencies held by MELD.
- Ensure required fees are available on the due date. If fees are unpaid, MELD reserves the right to suspend Services until such fees are paid.
- You are solely responsible for declaring/reporting your Account activities and gains per applicable laws. MELD has no obligation to provide third parties with information regarding your Account activities, except as required by law.
- You are solely responsible for paying applicable taxes in connection with your use of Services. MELD assumes no tax liability or responsibility for collecting, reporting, withholding, or remitting taxes from transactions you enter into.
- Where MELD has a legal obligation or elects to report your tax-related information to authorities, you undertake to provide requested documents, data, and information.
LIABILITY, INDEMNITY, AND WARRANTY
- To the extent permitted by law, MELD excludes all liability for any loss, damages, costs, or expenses incurred in connection with the Services or use of the Sites, including Digital Currency.
- Where liability cannot be excluded, MELD’s liability is limited to the total fees earned from you for providing Services.
- MELD shall not be liable for any financial decision or action you take using the Services.
- No Advice: MELD does not provide financial, investment, or legal advice. MELD may provide Digital Currency information (e.g., price, range, volatility) but it is not investment advice. Any decision to buy or sell is yours alone.
- MELD assumes no liability for financial loss from your Account use, including losses from technical faults, system hacks, or unauthorized Account access.
- No Liability: MELD is not liable for any damage, loss, or inconvenience arising from:
- 40.1. Malware or cyberattacks affecting your device;
- 40.2. Causes beyond our control;
- 40.3. Digital Currency network changes, unsupported protocol forks, or system reconfigurations;
- 40.4. Service suspensions;
- 40.5. Inaccurate orders;
- 40.6. Failure to meet your legal obligations, including taxes.
- MELD cannot guarantee error-free, virus-free content. Use the website at your own risk, ensuring proper security measures.
- The website and content are provided "as is" without warranties of any kind, express or implied.
- MELD is not liable for losses from your use of the website or content.
- Third-Party Information: Content by third parties on MELD platforms, such as opinions or blogs, does not represent MELD’s views. MELD is not liable for third-party content accuracy.
- MELD assumes no liability for third-party products or services advertised through MELD.
- Some jurisdictions may not allow exclusion of certain warranties or limitations on liability. In such cases, limitations apply to the maximum extent permitted by law.
- Changes to Sites: MELD may update the Site and Services at any time. Outdated content may remain on the site, and MELD is not obligated to update it. MELD assumes no liability for damage from Site interruptions.
- Indemnity: Each User indemnifies MELD against losses from breaches of these Terms, including:
- 48.1. Providing false information;
- 48.2. Prohibited Use;
- 48.3. Other breaches of Terms;
- 48.4. Relying on MELD information.
TERMINATION
- MELD may terminate the relationship and access to your Account unilaterally at any time without prior notice.
- Upon termination, you will be notified via your registered email.
- MELD is not liable to you or third parties for termination.
- You may terminate your relationship with MELD by requesting Account closure in writing via your registered email, provided no pending obligations remain.
- Upon termination:
- 53.1. All granted rights terminate immediately.
- 53.2. All outstanding fees are due to MELD.
- 53.3. Provisions intended to survive termination shall do so.
- 53.4. Other obligations cease.
- Termination does not exempt you from obligations due prior to termination. All Service Terms with MELD also terminate.
MISCELLANEOUS
- Complaints and Disputes: MELD encourages complaint submissions via Site tools. Complaints are acknowledged within five business days and investigated.
- Communication: All communication is via your registered email. MELD’s email is info@meld.com; for technical support, use support@meld.com. Users must monitor email for MELD communications.
- Notify MELD immediately of changes to contact details, providing supporting documents if requested.
- Governing Law and Jurisdiction: These Terms are governed by the laws of Lithuania, Cayman Islands, or Singapore, as applicable, with jurisdiction vested in their courts.
- Validity: These Terms remain valid as long as MELD operates the Site/Services.
- Enforceability: Only you and MELD have enforceable rights under these Terms.
- Assignments: You may not transfer your rights under these Terms. MELD may assign rights to any third party without your consent.
- Subcontracting: MELD may subcontract third parties for Services.
- Site/Service Improvement: MELD may develop or modify Site features and required user data.
- Relationship of Parties: The parties are independent contractors; nothing here suggests a partnership or joint venture.
- Invalidity: If any provision is invalid, the remaining Terms remain enforceable. Invalid provisions are replaced with legally enforceable ones achieving similar outcomes.
- Waiver: Delay in exercising rights does not preclude future exercise. Amendments require written MELD consent.
- Effect: Provisions meant to survive termination shall remain in effect, covering liability limitations, intellectual property, indemnity, and more.
- Entire Agreement: These Terms constitute the full agreement between you and MELD.
- Language: English is the governing language of these Terms and all communications.
- Contact Us: Use the specified communication channels if Terms and platform do not indicate otherwise.
Information about us
MELD.com are sites operated by MELD Ltd. (Cayman) ("we", “us” or “MELD”). By using our site or our services, you understand that your Personal Data may be processed by one or more subsidiaries of the MELD Group.
Who May Use Our Sites and Services
You must be able to form a legally binding contract online either on behalf of a company or as an individual. Accordingly, you represent that: (a) if you are agreeing to these Terms (including the additional terms incorporated by reference to these Terms) on behalf of a company or other legal entity, you have the legal authority to bind the company or other legal entity to these Terms; and (b) you are at least 18 years old (or the age of majority where you reside, whichever is older), can form a legally binding contract online, and have the full, right, power and authority to enter into and to comply with the obligations under these Terms. We may revise these Terms in whole or in part at any time by amending this page and any additional terms linked to this page. Any and all such modifications are effective immediately upon posting. By clicking “I Agree” to any modified Terms or by continuing to access or use the site or the services, you accept to be bound to the modified Terms. Please check this page from time to time to take notice of any changes we made.

We may update our site and our services from time to time and may change the content at any time. However, please note that any of the content on our site may be out of date at any given time, and we are under no obligation to update it. Indemnification
You agree to defend, indemnify and hold harmless MELD, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our sites, including, but not limited to, any use of our sites’ content, services and products other than as expressly authorized in these Terms or your use of any information obtained from the sites.
Applicable law
The interpretation and enforcement of these Terms, and any dispute related to these Terms, will be governed by and construed and enforced in accordance with the laws of the Cayman Islands, as applicable, without regard to conflict of law rules or principles that would cause the application of the laws of any other jurisdiction. You agree that we may initiate a proceeding related to the enforcement or validity of our intellectual property rights in any court having jurisdiction. With respect to any other proceeding, the courts located in the Cayman Islands will have exclusive jurisdiction. You waive any objection to venue in any such courts.
Waiver and Severability
No waiver by MELD of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of MELD to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
Entire Agreement
These Terms (which includes the materials incorporated by reference) and our Privacy Policy constitute the sole and entire agreement between you and MELD with respect to the sites and applicable services and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the sites.
Survival

DEFINITIONS
The following words when capitalized in these Terms have the following meanings:
MELD or we or us – means a legal entity of the MELD Group of Companies, providing the MELD Services in question and indicated in the Terms or SpecificTerms.
- MELD Group is international group of companies, consisting of the holding company MetaFinance Pte. Ltd., reg. No 202139173K, based in Singapore, and its subsidiaries;
- MELD X, UAB, a private limited liability company, established and operating under the laws of Lithuania, legal entity code 306004631, registered address at V. Nagevičiaus st. 3, LT-08237 Vilnius, Lithuania;registered VASP and reporting to Financial Crime Investigation Service (FCIS)of the Republic of Lithuania; MELD X is the party to fiat related clauses hereof and services provision, where applicable;
- MELD Ltd., a company limited by shares, incorporated in Cayman Islands, legal entity code 395937, VP Number: SCS6729, registered address Kensington House, 69 Dr.Roy's Drive, PO Box 2510, George Town, Grand Cyman, KY1-1208, Cyman Islands; MELD Ltd. is the party to DeFi related clauses hereof and services provision, where applicable;
- MELD Finance, UAB, a private limited liability company, established and operating under the laws of Lithuania, legal entity code 306236494, registered address at Girulių g. 10-201, LT-12112 Vilnius, Lithuania; MELD Finance is the party to fiat related clauses hereof and services provision, where applicable;
MELD Services or Services–means the products and services offered by MELD via the MELD App or the MELD Websites which includes any services enabled by future technological development, and provided by MELD in accordance with these Terms and separate Specific Terms;
MELD Websites or Sites means the websites, subdomains, APIs, mobile applications and other applications and media operated by MELD, including but not limited to the domain names of which include meld.com;
Account – an account created by MELD to the User providing the features required to use the Services;
Applicable Law – means all civil and common laws, statutes, subordinate legislation,treaties, regulations, directives, decisions, by-laws, ordinances,circulars, codes, orders, notices, demands, decrees, injunctions,resolutions, rules and judgments of any government, quasi-government,statutory, administrative or regulatory body, court, agency or association by which any User of the MELD Service, are bound in any jurisdiction applicable to the receipt or performance of the MELDService;
AML/CTF – means anti-money laundering and counter-terrorism financing;
Force Majeure means any circumstances beyond the reasonable control of any party including, without limit, any strike, lock-out or other form of industrial action, civil commotion, terrorism, riot, invasion, war, rebellions, threat of or preparation for war, unavoidable accident, failure of telecommunications, failure of electronic payments systems, strikes, lockouts or other labour disturbances, national or international emergencies, fire, explosion, severe or adverse weather conditions, flood, storm, earthquake, Acts of God, subsidence, epidemic or other natural physical disaster, government rules, regulations, acts, orders, restrictions or requirements, power failure, failure in bank performance, or equipment or software malfunction including network splits or “forks” or unexpected changes in a computer network upon which the Services rely.
Intellectual Property Rights – means any registered or unregistered design rights, patents, copyright, database rights, data protection rights, trademarks, service marks, logos, trade names, rights in domain names, rights in undisclosed or confidential information (such as know-how, trade secrets and inventions (whether or not patentable)) moral rights and any other similar intellectual or industrial property rights (whether registered or not) and applications for such rights as may exist anywhere in the world;
Digital Currency – means a digital representation of value that can be digitally traded, or transferred, and can be used for payment or investment purposes (also known as cryptocurrency, virtual currency, virtual asset), and supported by MELD. Digital Currency does not include digital representations of fiat currencies, securities and other corresponding financial assets;
Fiat Currency – a currency which in accordance with valid laws is legal tender;
User or you – an individual or a legal entity using the Sites, holding the Account and using the Services.
AGREEMENT
- Contractual Relationship. These Terms (including the Specific Terms) constitute a legal agreement and create a binding contract between you and MELD. These Terms are applicable to you from the moment you access the Sites and/or Services. MELD remains solely entitled to restrict or limit your access and/or use of our Sites and/or Services without indicating any reasons.
- Your Eligibility. You must be able to form a legally binding contract online either as an individual or on behalf of a company. Accordingly, you represent that:
- 2.1. If you are agreeing to these Terms (including the Specific Terms) on behalf of a company or other legal entity, you have the legal authority to bind the company or other legal entity to these Terms, and as a legal person, you must be duly established and operate in a country in which our Services are legally accessible.
- 2.2. You are at least 18 years old (or the age of majority where you reside, whichever is older), can form a legally binding contract online, and have the full right, power, and authority to enter into and to comply with the obligations under these Terms.
- 2.3. You further represent that you are otherwise legally permitted to use the services in your jurisdiction, including owning cryptographic tokens and interacting with the services and content provided through our Sites.
- 2.4. In addition to the foregoing, you undertake to immediately cease using MELD Services should it become illegal under the laws applicable to you.
- 2.5. You must provide all of the information and/or data and/or documents required by us to set up and maintain your Account and verify your identity following our instructions, including requests to provide duly signed and certified documents evidencing your right as a representative of a legal person.
- 2.6. MELD must be satisfied with the outcome of the identity, fraud, background checks, and other money laundering and terrorist financing checks it (or any third party) conducts in relation to you at any time during the term of your and our relationship.
- 2.7. You are not subject to the Restricted Jurisdictions clause hereof.
- 2.8. At all times, you comply with the Terms as well as all applicable laws.
- Specific Terms. These Terms are supplemented by the following Specific Terms which are expressly incorporated by reference herein and which also apply to your use of our Site and Services, as applicable:
- 3.1. Our Privacy Policy, which sets out information about how we use your personal information and the use of cookies and local storage on our site and services;
- 3.2. Our MELD App Terms, which sets out terms and conditions of using out Services provided and accessible via MELD App;
- 3.3. Our End User License Agreement (EULA), which sets limited non-transferable license terms for MELD App usage.
- 3.4. Our Risk Warning, which highlights the significant risks involved in dealing with digital currencies and digital assets;
- 3.5. All other agreements entered into separately between you and MELD are deemed Specific Terms that are an integral part of these Terms and shall have the same legal effect.
- Your General Agreements and Promises. By accessing the Sites and using the Services, you:
- 4.1. Confirm that you are eligible, as well as agree and acknowledge that any and all actions performed by using your Account shall be valid and binding.
- 4.2. Authorize MELD to make the inquiries, when necessary, to verify your identity, undertake fraud checks, and carry out other measures necessary to meet the requirements set forth in the Applicable laws. You expressly consent to furnish any and all such information, documents, and data.
- 4.3. Confirm that you have read, understood, and agreed to be bound by these Terms and Specific Terms; commit to be bound by these Terms and Specific Terms and comply with them.
- 4.4. Undertake to pay all fees associated with the Services, if any.
- 4.5. Confirm that you have sufficient knowledge of Digital Currencies and understand that you are solely responsible for determining the nature, potential value, suitability, risks, and appropriateness of our Services.
- 4.6. Confirm that MELD has not solicited, nor advised you to, nor recommended you to use the Services and/or enter into transactions related to Digital Currencies.
- 4.7. Commit to ensure that any personal information you provide to MELD is accurate, up-to-date, and complete, and relates solely to you, and to update us within 10 (ten) calendar days of any changes to any information you have provided to us. At our request, you must submit any documents (originals, duly certified paper copies, or scanned copies) supporting such changes of information or circumstances, as well as provide us without undue delay with any additional information, documents, and data we may request from you.
- Documents to be Provided by User to MELD. MELD shall have the right to require the User to provide original documents and/or copies certified by a notary or any other person authorized by the state. MELD shall also have a right to require that documents drawn up abroad be translated into English and/or legalized and/or attached with an Apostille unless Applicable laws establish otherwise. All costs of drafting, delivery, certification, notarization, apostilling, and translation of documents to be provided to MELD shall be borne by the User.
- Your AML/CTF Related Agreements and Promises. In order to comply with applicable AML/CTF requirements, MELD must obtain from you and retain the necessary documents, information, and data. By accessing the Sites and using the Services, you:
- 6.1. Acknowledge that at any time during our relationship, MELD shall have the right to demand from you any documents, data, and information, including those confirming the legal grounds and sources (origin) of your funds and other assets, to the extent necessary for MELD to adequately fulfill AML/CTF requirements.
- 6.2. Approve that the funds deposited in your Account in any form belong to you and are derived from legitimate sources. MELD may require proof of evidence confirming the legitimacy of funds.
- 6.3. Approve that your personal data and identifiers may be shared with authorized third parties, including banks, required to provide our Services to you and in accordance with applicable AML/CTF laws. MELD uses reliable and independent sources and other lawful methods to verify the information provided by you.
- 6.4. Acknowledge that if MELD determines you pose an unacceptable AML/CTF risk, it may immediately and unilaterally terminate the relationship with you.
- Representation and Warranty. By accepting these Terms, you represent and warrant that all of the above statements are true and accurate on the day of acceptance and shall remain so until you cease using our Services.
- Accessing MELD Sites. While MELD aims to ensure uninterrupted access to its Sites and Services, occasional downtime or maintenance may occur. MELD reserves the right to suspend, withdraw, discontinue, modify, or update all or any part of the Sites and Services without notice.
- Your Responsibility for Access. You are responsible for all arrangements necessary to access our Sites and Services, ensuring compliance with these Terms for any persons accessing the Sites through your platform or internet connection.
- Suspension. MELD reserves the right to suspend your access to the Sites and/or Services without prior notice for any period it deems necessary, including but not limited to the following cases:
- 10.1. Prohibited Use.
- 10.2. Following a “fork” event or other change in operating rules in any Digital Currency network.
- 10.3. A Force Majeure or market disruption event.
- 10.4. Compliance with applicable law or regulatory guidance.
- 10.5. Other significant circumstances, as determined by MELD.
- Restriction and Termination. Subject to applicable law, MELD reserves the right to restrict or terminate your access to any or all Services and deactivate your account, including but not limited to cases where:
- 11.1. There is Prohibited Use.
- 11.2. MELD is required to do so by law or court order.
- 11.3. Reasonable suspicion of breach of Terms or circumvention attempts.
- 11.4. Reasonable suspicion of fraud or erroneous transactions.
- 11.5. Compromise of your account or unauthorized MELD Services use.
- 11.6. Reasonable suspicion of money laundering, terrorism financing, fraud, or other financial crime.
- 11.7. Suspicion of fraudulent or illegal activities, including Ponzi or pyramid schemes.
- 11.8. Pending litigation, investigation, or government proceedings involving your MELD wallets.
- 11.9. Other significant circumstances, as determined by MELD.
- Reversal of Suspensions and Terminations. Suspensions, restrictions, or terminations may be reversed once reasons for refusal no longer exist. MELD is not obligated to execute suspended, reversed, or terminated transactions at the same price or terms.
- Limitations of Liability. MELD shall not be liable for any loss, liability, or inconvenience arising from any Suspension Event or related actions. MELD may, at its discretion, allow you to withdraw Digital Currencies from your Account to a third-party service.
- Changes to Terms. MELD reserves the right to amend these Terms unilaterally at any time by publishing updated Terms on the website and notifying users. Continued use of the Sites and Services implies acceptance of amended Terms. If you do not accept amended Terms, follow the “Termination” procedure.
- Third-Party Providers. MELD may engage third-party providers or subcontractors for Services. MELD is not liable for delays, loss, or damage incurred from third-party services. Claims related to third-party services should be directed solely to those providers.
- Restricted Jurisdictions Clause:
- 16.1. Prohibited Jurisdictions: Use of MELD’s platform is prohibited in countries or regions under international sanctions, embargos, or crypto restrictions, including OFAC-listed or EU-sanctioned countries.
- 16.2. High-Risk Jurisdictions: MELD may impose additional restrictions on users from high-risk jurisdictions, as identified by financial regulators.
- 16.3. AML Compliance: MELD complies with AML and CTF regulations and may conduct enhanced due diligence for users from high-risk jurisdictions.
- 16.4. Crypto Bans: Users are responsible for knowing and complying with any crypto bans in their jurisdiction.
- 16.5. Legal Compliance: MELD may restrict users from restricted jurisdictions through Geo-blocking or other technical means.
PROHIBITED USE
- Prohibited Activities. MELD prohibits Users from using its Sites or Services for:
- 17.1. Illegal activities.
- 17.2. Concealing proceeds of illegal activities.
- 17.3. Infringing Intellectual Property.
- 17.4. Gambling.
- 17.5. Unsupported Digital Currency transactions.
- 17.6. Fraudulent, malicious, or deceptive activities, such as launching malware.
- 17.7. Reverse engineering or disabling MELD software.
- 17.8. Unauthorized Account access.
- 17.9. Securities promotion.
- 17.10. Impersonation of MELD or any other person.
- 17.11. Sending unsolicited advertising.
- 17.12. Unauthorized data scraping or monitoring.
- 17.13. Harmful actions toward MELD or third parties.
- 17.14. Use by ineligible persons.
- 17.15. Activities that damage or interfere with MELD’s Sites or Services.
- 17.16. Attacks on MELD’s website infrastructure.
- 17.17. Other unacceptable activities per MELD’s discretion.
- Access Denial. MELD reserves the right to block or refuse access if there is good-faith belief of prohibited use.
- Breach of Terms. If MELD believes you have breached these Terms or applicable law, it reserves the right to:
- 19.1. Limit, restrict, suspend, or terminate access to the Sites and/or Services.
- 19.2. Warn other users of your actions.
- 19.3. Cooperate with law enforcement by disclosing information.

- Limited License: By accessing and using the Site/Services, you are granted a limited, non-exclusive, non-transferable license to use the Site/Services and its content solely for personal, non-commercial use. You may not reproduce, modify, distribute, or otherwise exploit any part of the Site/Services or its content without the express written consent of MELD.
- You may not sell or modify materials derived or created from the Services or reproduce, display, publicly perform, distribute, or otherwise use the materials for any public or commercial purpose. Use of such materials on other websites or file-sharing services for any purpose is strictly prohibited. You may not copy any material derived from the Services without our express, written permission.
- Intellectual Property Infringement: If you believe your intellectual property rights have been infringed by the Website or its content, please notify MELD immediately via both info@meld.com and legal@meld.com.
- Linking to our Sites: You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link suggesting association, approval, or endorsement by us where none exists. We reserve the right to withdraw linking permission without notice.

- MELD Sites and Services may include user-generated content (e.g., bulletin boards, chat rooms) and Third-Party links (e.g., news channels). Such content has not been verified by us. Views expressed by third parties on or via MELD platforms do not represent MELD's views or values.
FEES AND TAXES
- MELD shall charge fees for Services as specified in the Specific Terms, which you agree to pay.
- MELD reserves the right to update the fees for Services at any time. Updated fees will apply to use of Services after the effective date of such updates. If no effective date is specified, updated fees are effective immediately upon publication.
- You authorize MELD to deduct applicable fees from your Digital or Fiat Currencies held by MELD.
- Ensure required fees are available on the due date. If fees are unpaid, MELD reserves the right to suspend Services until such fees are paid.
- You are solely responsible for declaring/reporting your Account activities and gains per applicable laws. MELD has no obligation to provide third parties with information regarding your Account activities, except as required by law.
- You are solely responsible for paying applicable taxes in connection with your use of Services. MELD assumes no tax liability or responsibility for collecting, reporting, withholding, or remitting taxes from transactions you enter into.
- Where MELD has a legal obligation or elects to report your tax-related information to authorities, you undertake to provide requested documents, data, and information.
LIABILITY, INDEMNITY, AND WARRANTY
- To the extent permitted by law, MELD excludes all liability for any loss, damages, costs, or expenses incurred in connection with the Services or use of the Sites, including Digital Currency.
- Where liability cannot be excluded, MELD’s liability is limited to the total fees earned from you for providing Services.
- MELD shall not be liable for any financial decision or action you take using the Services.
- No Advice: MELD does not provide financial, investment, or legal advice. MELD may provide Digital Currency information (e.g., price, range, volatility) but it is not investment advice. Any decision to buy or sell is yours alone.
- MELD assumes no liability for financial loss from your Account use, including losses from technical faults, system hacks, or unauthorized Account access.
- No Liability: MELD is not liable for any damage, loss, or inconvenience arising from:
- 40.1. Malware or cyberattacks affecting your device;
- 40.2. Causes beyond our control;
- 40.3. Digital Currency network changes, unsupported protocol forks, or system reconfigurations;
- 40.4. Service suspensions;
- 40.5. Inaccurate orders;
- 40.6. Failure to meet your legal obligations, including taxes.
- MELD cannot guarantee error-free, virus-free content. Use the website at your own risk, ensuring proper security measures.
- The website and content are provided "as is" without warranties of any kind, express or implied.
- MELD is not liable for losses from your use of the website or content.
- Third-Party Information: Content by third parties on MELD platforms, such as opinions or blogs, does not represent MELD’s views. MELD is not liable for third-party content accuracy.

TERMINATION
- MELD may terminate the relationship and access to your Account unilaterally at any time without prior notice.
- Upon termination, you will be notified via your registered email.
- MELD is not liable to you or third parties for termination.
- You may terminate your relationship with MELD by requesting Account closure in writing via your registered email, provided no pending obligations remain.
- Upon termination:
- 53.1. All granted rights terminate immediately.
- 53.2. All outstanding fees are due to MELD.
- 53.3. Provisions intended to survive termination shall do so.
- 53.4. Other obligations cease.
- Termination does not exempt you from obligations due prior to termination. All Service Terms with MELD also terminate.
MISCELLANEOUS
- Complaints and Disputes: MELD encourages complaint submissions via Site tools. Complaints are acknowledged within five business days and investigated.
- Communication: All communication is via your registered email. MELD’s email is info@meld.com; for technical support, use support@meld.com. Users must monitor email for MELD communications.
- Notify MELD immediately of changes to contact details, providing supporting documents if requested.
- Governing Law and Jurisdiction: These Terms are governed by the laws of Lithuania, Cayman Islands, or Singapore, as applicable, with jurisdiction vested in their courts.
- Validity: These Terms remain valid as long as MELD operates the Site/Services.
- Enforceability: Only you and MELD have enforceable rights under these Terms.
- Assignments: You may not transfer your rights under these Terms. MELD may assign rights to any third party without your consent.
- Subcontracting: MELD may subcontract third parties for Services.

Indemnification
You agree to defend, indemnify and hold harmless MELD, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our sites, including, but not limited to, any use of our sites’ content, services and products other than as expressly authorized in these Terms or your use of any information obtained from the sites.
Applicable law
The interpretation and enforcement of these Terms, and any dispute related to these Terms, will be governed by and construed and enforced in accordance with the laws of the Cayman Islands, as applicable, without regard to conflict of law rules or principles that would cause the application of the laws of any other jurisdiction. You agree that we may initiate a proceeding related to the enforcement or validity of our intellectual property rights in any court having jurisdiction. With respect to any other proceeding, the courts located in the Cayman Islands will have exclusive jurisdiction. You waive any objection to venue in any such courts.
Waiver and Severability
No waiver by MELD of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of MELD to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
Entire Agreement
These Terms (which includes the materials incorporated by reference) and our Privacy Policy constitute the sole and entire agreement between you and MELD with respect to the sites and applicable services and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the sites.
Survival
